Terms of service

These terms govern your use of Oleera, provided by McKinney Creative Ventures LLC, a Minnesota limited liability company ("MCV", "we", "us"). By creating an account or using Oleera you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to bind it.
1. What Oleera is
Oleera is software provided over the internet for managing customers, work, scheduling, quoting, invoicing, payments and marketing. We provide access to it; we do not provide the services your business performs for its own customers, and we are not a party to anything between you and them.
2. Your account
You are responsible for the accuracy of the information in your account, for keeping credentials secure, and for everything done under your account by the people you give access to. Tell us promptly if you believe an account has been accessed without authorisation.
Accounts are for a single business. You may add users and field staff as described in the fees section. You may not share a single user login between people to avoid per-user fees.
3. Fees and billing
Current pricing is published at oleera.ai/pricing. At the time of writing that is $199 per month for the Core plan and $349 per month for the Full plan, each including 3 users and 250 AI actions per month, with additional users at $25 per month, field staff at $10 per month, and additional AI actions at $100 per 250.
- Subscriptions are monthly and renew automatically until cancelled. Fees are charged in advance for each cycle.
- Seat charges are based on the users and field staff in your account. Adding people during a cycle is prorated; removing them takes effect at the end of the cycle.
- Fees exclude taxes. Where we are required to collect sales tax, it is added to your invoice.
- We may change pricing with at least 30 days notice by email to the account owner. A change never applies to a cycle you have already paid for.
Failed payments
If a payment fails you have 14 days to update your payment method, during which your access is unaffected. After 14 days the account is suspended for all users until the balance is brought current. A suspended account is retained for 90 days and then permanently deleted.
Cancellation
You may cancel at any time from inside the app. Cancellation takes effect at the end of the cycle you have already paid for, and we do not refund unused time within a cycle. After that the account is archived for 90 days, during which you may reactivate it and find everything as you left it. After 90 days it is permanently deleted and cannot be recovered.
Export your data before that window closes. Contacts, invoices, proposals, deals, products, tasks and jobs can be exported to CSV at any time from inside the app.
4. Payments you take from your customers
Oleera lets you connect your own payment processor account. When your customer pays you, you are the merchant of record: the funds settle to your account, not ours, and your relationship with that processor is governed by their agreement with you. We charge a platform fee of 0.5% of the amount processed, capped at $10 for ACH payments, taken from the transaction. Your processor's own fees are separate and are theirs.
Chargebacks, refunds and disputes with your customers are between you, your customer and your processor. We are not able to reverse or adjudicate them.
5. Your data
You own your data. The customer records, documents, messages and files you put into Oleera remain yours. You grant us only the licence needed to host, process, back up and display that data in order to provide the service to you, and to comply with law.
We do not sell your data, we do not use it to advertise to you or anyone else, and we do not use it to train AI models. How it is handled is described in our privacy policy.
MCV staff can access your account to provide support and resolve problems. Every such action is recorded in an audit log, and we will show you that log on request.
6. Acceptable use
You agree not to use Oleera to:
- send unsolicited bulk email or text messages, or contact people who have not agreed to hear from you, or who have asked you to stop;
- break any law that applies to you, including telemarketing, messaging, consumer protection, and data protection law;
- upload malicious code, attempt to access another account's data, probe or overload our infrastructure, or circumvent any limit or security control;
- store payment card numbers, government identifiers, or health records in free-text fields. Oleera is not built to hold them and doing so may put you in breach of rules that apply to you;
- resell or provide Oleera to third parties as your own service.
You are responsible for having permission to contact the people in your account. Email and messaging law is your obligation, not ours, and we may suspend sending from an account that generates a serious volume of complaints because deliverability is shared infrastructure.
7. The AI features
Oleera includes features that use large language models to summarise information and draft work. Two things follow from that and you should read both.
- Output can be wrong. Review anything it produces before acting on it. It is a draft, not advice, and it is not a substitute for professional judgement, legal advice, or an accountant.
- It cannot act unattended on the things that matter. Sending email to your customers, creating or changing documents, and changing jobs and visits always require a human to approve the specific action first. That restriction is in the software itself, not a setting.
To provide these features, the relevant parts of your data are sent to our AI provider to produce a response for you. It is not used to train their models.
8. Third party services
Oleera connects to services you choose, such as your payment processor and your email sending provider. Your use of those is governed by your agreement with them. We are not responsible for their availability, their pricing, or their decisions about your account with them.
9. Availability and support
We work to keep Oleera available and will give reasonable notice of planned maintenance where we can. We do not currently offer a contractual uptime guarantee, and saying so plainly is better than implying one we have not committed to. Support is by email during Central Time business hours.
10. Suspension and termination by us
We may suspend or terminate an account that is materially in breach of these terms, that is not paying, or that is being used in a way that puts other customers or our infrastructure at risk. Except where the law or an urgent security problem requires otherwise, we will tell you first and give you a chance to fix it. If we terminate an account other than for breach, we will refund the unused portion of the current cycle.
11. Disclaimers
Oleera is provided "as is". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error free.
12. Limitation of liability
To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data, arising out of these terms. Our total liability for any claim relating to Oleera is limited to the amount you paid us in the 12 months before the event giving rise to it.
Nothing here limits liability that cannot be limited by law, including for fraud or wilful misconduct.
13. Changes to these terms
We may update these terms. If a change is material we will email the account owner at least 30 days beforehand. Continuing to use Oleera after a change takes effect means you accept it. If you do not, you may cancel.
14. Governing law
These terms are governed by the laws of the State of Minnesota, without regard to its conflict of laws rules. The courts of Washington County, Minnesota have exclusive jurisdiction, and both parties consent to it.
